I. THE AGREEMENT
​
By securing a membership with SILARA, you (the "Member") agree to the following terms, which constitute a binding legal agreement under Dutch Law (Burgerlijk Wetboek). These terms govern your access to our curations, atelier services, and digital platforms.

II. NATURE OF THE SERVICE
​
SILARA provides an exclusive monthly subscription service (the "Curation"). Each month, Members receive a selection of high-end goods curated by our experts.

The "Surprise" Element: By subscribing, you acknowledge that the specific contents of each Curation are unknown prior to delivery. This element of discovery is a core feature of the service and cannot constitute a "defect" or "non-conformity" under Article 7:17 BW.

III. MEMBERSHIP & RENEWAL
To ensure compliance with the Wet Van Dam (Dutch subscription law), our membership tiers operate as follows:
A. The Monthly Membership (Flex)

Term: Indefinite, billed month-to-month.

Cancellation: You may pause or cancel your membership at any time via your Member Portal.

Notice Period: Cancellations made before the 1st of the month prevent the next billing cycle. Cancellations made after the 1st will apply to the subsequent month.

IV. FINANCIAL TERMS

Billing Date: Membership fees are drafted on the 1st of each month.

Payment Failures: If payment cannot be secured by the 5th, your allocation for that month’s Curation may be released to the waitlist.

Pricing: All prices include Dutch VAT (BTW). We reserve the right to adjust membership fees with a 30-day notice. You have the right to terminate your membership immediately if you do not agree to a price increase.

V. RIGHT OF WITHDRAWAL
As a consumer in the EU, you have the right to dissolve this agreement within 14 days without giving a reason.

For the First Box: The 14-day cooling-off period commences the day you (or your designated representative) physically receive the first Curation.

How to Exercise: Email support@silara.com with a clear statement (e.g., "I wish to revoke my membership and return the box").

Effect of Withdrawal: You must return the complete, unopened box to us within 14 days of your notification. Upon receipt of the pristine box, we will refund the full membership fee + standard shipping costs within 14 days.

Exceptions: We cannot accept returns of:

Unsealed hygiene products (creams, perfumes) for health protection reasons.

Personalized items made to your specific measurements.

Incomplete boxes (individual items cannot be returned).

VI. DELIVERY & RISK

Transfer of Risk: The risk of loss or damage to the Curation passes to you the moment the goods are delivered to your provided address.

Concierge Delivery: We aim to deliver between the 4th and 7th of the month. Delays caused by force majeure (customs strikes, extreme weather) do not entitle the Member to damages, provided delivery occurs within 30 days.

VII. LIABILITY & LIMITATION

Our Responsibility: SILARA is liable for damages resulting from our own gross negligence or willful misconduct, and for death or personal injury caused by our negligence, as required by Dutch Law.

Limitation: To the extent permitted by law (Art. 6:162 BW), SILARA is not liable for indirect damages, lost profits, or damages arising from your misuse of the products.

Product Safety: We act as a curator. While we vet all partner brands rigorously, the ultimate product liability rests with the original manufacturer of the goods included in the box (Art. 6:185 BW).

VIII. INTELLECTUAL PROPERTY
​
The SILARA brand, logo, and unboxing experience are the intellectual property of SILARA B.V. You may not reproduce our packaging or branding for commercial resale without written license.

IX. PRIVACY & DATA
We respect your privacy. Our processing of your data is strictly governed by our [Privacy Policy] and the GDPR.

X. GOVERNING LAW & DISPUTES

Jurisdiction: These terms are governed exclusively by Dutch Law.

Dispute Resolution: In the unlikely event of a disagreement, we invite you to contact our Concierge team first.

Legal Venue: If a resolution cannot be found, disputes will be submitted to the competent court in Leeuwarden/Noord-Nederland (or your place of residence if required by consumer law).
